Six governance principles

Board Oversight

The Board of Directors of allswiss AG meets quarterly and exercises supervisory oversight over management, risk, and strategic direction. Board members are independent of executive management.

Conflict of Interest Policy

allswiss maintains a written conflict of interest policy. Any transaction in which a related party has a material interest is reviewed independently before approval. Co-investment by management is disclosed to all participating investors.

Risk Management

Every transaction undergoes a formal underwriting process including independent valuation, legal due diligence, and stress-testing. Risk limits are set at the transaction level and reviewed by senior management prior to commitment.

Anti-Money Laundering

allswiss AG applies Swiss anti-money laundering regulations (GwG) and FATF standards. KYC procedures are completed for all counterparties before engagement. Suspicious activity reporting follows statutory requirements.

Data Protection

Personal data is processed in accordance with the Swiss Federal Act on Data Protection (nDSG) and applicable EU GDPR standards where relevant. Data is not shared with third parties without explicit consent or legal obligation.

Investor Reporting

Investors receive quarterly asset-level reports including valuations, covenant compliance, income and capital account statements, and management commentary. Reports are prepared by allswiss management — not delegated to fund administrators.

Corporate registration

allswiss AG is incorporated under Swiss law as an Aktiengesellschaft (AG), registered in the Canton of Schaffhausen. As an unregulated capital markets adviser, allswiss conducts business exclusively with qualified investors as defined under the Swiss Collective Investment Schemes Act (CISA). No public offering of securities is made.
